Welcome to SiteAccessible. These Terms and Conditions (“Terms”, “Agreement”) are a legally binding agreement between you (“Customer”, “you”, “your”) and QROLLING LLC, a limited liability company registered in Georgia under number B26345195, with its registered office at 75A Erosi Manjgaladze Street, Tbilisi 0159, Georgia (“SiteAccessible”, “Company”, “we”, “us”, “our”), governing your access to and use of the SiteAccessible website at siteaccessible.com, its subdomains, the customer panel, the embeddable accessibility widget and all related services (together, the “Service”). SiteAccessible is a product of QROLLING LLC. Please read these Terms carefully before using the Service.
1. Acceptance of Terms
By accessing, registering for, or using the Service in any manner, you acknowledge that you have read, understood and agree to be bound by these Terms, our Privacy Policy, our Data Processing Agreement and our Legal Notice. If you do not agree, you must not access or use the Service.
Age requirement. You must be at least sixteen (16) years of age to use the Service. If you are under 18, you represent that your legal guardian has reviewed and agreed to these Terms on your behalf.
Authority to bind. If you use the Service on behalf of a company, organisation or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case “you” and “your” refer to both you individually and that entity.
Modifications to Terms. We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service, updating the “Last updated” date and, for material changes affecting paid subscriptions, by email at least thirty (30) days in advance. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
International users. These Terms apply wherever you access the Service from. By using SiteAccessible you consent to the transfer of your data to Georgia, the European Union and other countries where our infrastructure operates, subject to the protections described in our Privacy Policy and Data Processing Agreement. Nothing in these Terms limits your rights under mandatory consumer-protection or data-protection laws in your jurisdiction.
2. What the Service Is — and Is Not
2.1 Service description
SiteAccessible is a software-as-a-service (SaaS) product. We sell a subscription to a JavaScript widget that you embed on your own website. The widget gives your visitors — in particular people with visual, motor, cognitive or other impairments — optional, visitor-side controls over how the page is presented to them. The Service includes:
- The widget: a script loaded from our servers that offers adjustments such as contrast, text size, spacing, alignment, reading aids, pointer aids and animation control, in the languages you enable.
- The customer panel: where you register websites and domains, configure the widget's appearance and behaviour, and obtain the installation snippet.
- Aggregate usage reporting: counts of widget loads, panel opens and adjustments used, per site and per day.
- On the plans that include them: an accessibility-statement generator, which turns your answers to a guided form into a statement we host for you, and export of your usage data.
- Documentation and support by email.
2.2 No guarantee of legal or regulatory compliance
The Service does not, and cannot, make a website accessible or compliant on its own. We do not represent, warrant or guarantee that a website using SiteAccessible meets, fully or partly, any accessibility law, regulation, standard or government requirement of any country or territory, including (without limitation) the Web Content Accessibility Guidelines (WCAG), EN 301 549, the European Accessibility Act (Directive (EU) 2019/882) and its national implementations, the EU Web Accessibility Directive, the Americans with Disabilities Act (ADA), Section 508 of the US Rehabilitation Act, the Accessibility for Ontarians with Disabilities Act (AODA), the UK Equality Act 2010, or any equivalent rule where you or your visitors are located.
Whether your website meets the law depends on your own content, code and design — for example alternative text, heading structure, form labels, keyboard operability, captions and colour choices made in your templates — none of which the widget changes. Requirements differ from country to country and change over time. The Service is offered in the same form worldwide and is not adapted to the legal requirements of any particular jurisdiction.
2.3 No licence, certification or accreditation
QROLLING LLC is a software company. We are not a law firm, an accessibility auditor, a conformity-assessment body, a notified body or a certification authority, and we hold no government licence, accreditation, registration or authorisation to assess, certify or attest the accessibility or legal compliance of websites in any country. Nothing the Service produces — the widget, the panel, usage reports, the accessibility-statement link, accessibility statements generated from your answers, badges, documentation or our correspondence — is a certificate, an audit report, an attestation of conformity or legal advice, and you must not present it as one.
2.4 Your website remains your responsibility
- You alone are responsible for the accessibility of your website and for complying with the laws that apply to it, to your organisation and to your visitors.
- You are responsible for deciding whether the Service is suitable for your purposes, and for obtaining independent legal and accessibility advice before relying on it for any regulatory purpose.
- You must not state or imply — on your website, in an accessibility statement, to a customer, a court or a regulator — that your website is compliant, certified or audited because it uses the Service.
- An accessibility statement you create with the Service is your statement. Its content — including the conformance status, the known limitations and the contact details — comes from your answers; we host and format it, but we do not check, verify or endorse it.
- Any demand, complaint, claim, fine or proceeding concerning the accessibility of your website is yours to answer. SiteAccessible is not a party to it and does not defend, insure or indemnify you against it.
2.5 No statement to the contrary
No advertisement, sales conversation, support reply, documentation page, translation or third-party review changes this Section 2. If anything anywhere appears to promise compliance, this Section prevails. If you are not willing to buy the Service on this basis, do not subscribe.
2.6 No uptime guarantee
We work to keep the Service available, but we do not guarantee uninterrupted, error-free or secure access at all times. The Service may be subject to maintenance, outages and other disruptions. If the widget cannot be loaded, your website continues to work without it. SiteAccessible is not liable for loss or damage arising from the Service being unavailable.
3. Account Registration
To use the Service you must create an account. When registering, you agree to:
- Provide accurate, current and complete information and keep it up to date.
- Keep your credentials confidential and not share them with any third party.
- Accept responsibility for all activity under your account, whether or not authorised by you.
- Notify us immediately of any unauthorised access to or use of your account.
One account per organisation. Creating multiple accounts to circumvent plan limits or trial periods, or for any fraudulent purpose, is prohibited and is grounds for immediate termination.
We may suspend or terminate any account that we reasonably believe contains inaccurate information, was created in breach of these Terms or poses a security risk.
4. Trial, Subscription & Billing
4.1 Plans and pricing
The Service is offered under tiered subscription plans (currently Standard, Pro and Business), each with its own limits on websites, monthly pageviews and features. Current plans and prices are published at siteaccessible.com/pricing. Features, limits and prices may change in accordance with Section 4.4.
4.2 Free trial
Every new account starts with a seven (7) day free trial of the plan it signed up for. Nothing is charged during the trial. If you do not subscribe to a paid plan before the trial ends, the widget stops loading on your websites; your account and settings remain so that you can subscribe later.
4.3 Annual billing and auto-renewal
Paid subscriptions are billed annually, in advance, and renew automatically for a further year at the end of each billing period unless cancelled before the renewal date. By subscribing you authorise the applicable fee to be charged to your payment method at each renewal. Monthly amounts shown on the website are the annual price divided by twelve, for comparison only.
4.4 Price changes
We may change subscription prices. We will give at least thirty (30) days' notice of any price increase by email to the address on your account, and the new price applies from your next renewal. If you do not agree, you may cancel before that renewal.
4.5 Refund policy
You can ask for a full refund within 14 days of any payment, for any reason. Write to [email protected] or use the link in your Paddle receipt; Paddle, as merchant of record, returns the money to your original payment method, and the refunded period of the subscription is cancelled. The details are in our Refund Policy at siteaccessible.com/legal/refund. Statutory rights that cannot be excluded — such as a consumer's right of withdrawal in the European Union and the United Kingdom — are unaffected.
4.6 Cancellation
You may cancel at any time from your account or by writing to [email protected]. After cancellation:
- The widget keeps working on your websites until the end of the period you have already paid for.
- At the end of that period the widget stops loading. Your website is otherwise unaffected; removing the script tag is the only change it needs.
- Your account, site settings and usage history are kept for as long as your account exists, so you can subscribe again at any time. Cancelling does not delete them; deleting your account does (Section 14.2).
4.7 Failed payments
If a renewal payment fails, further attempts are made over approximately fourteen (14) days. If payment cannot be collected, the subscription is cancelled and the widget stops loading on your websites.
4.8 Usage limits
Each plan includes a number of websites and a monthly pageview allowance. A pageview is one load of the widget on one page; repeat loads by the same visitor within one minute are counted once. If you exceed your allowance the widget keeps working; if you remain over it for two consecutive months we may ask you to move to a higher plan and, after notice, limit the Service if you do not.
4.9 Taxes
Any sales tax that applies in your country — value-added tax, sales tax or a similar charge — is calculated at checkout by our payment provider, according to your location and status, and is shown to you before you pay. Our payment provider collects and remits it.
4.10 Changing plans
You may move to another plan at any time. The change takes effect immediately, whether it is an upgrade or a downgrade, and our payment provider prorates the price difference against the rest of your billing year: an upgrade is charged straight away, and the unused value of a more expensive plan is credited. Features and limits of the new plan apply from the moment of the change.
5. Payment Processing
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries relating to payments and handles returns. When you buy a subscription you purchase it from Paddle.com Market Ltd (or its affiliate named at checkout), which resells the Service to you, issues your invoice or receipt, collects applicable taxes and processes refunds. Paddle's Checkout Buyer Terms (paddle.com/legal/checkout-buyer-terms) and Privacy Policy (paddle.com/legal/privacy) apply to the purchase in addition to these Terms.
Payment data. Paddle and its payment partners comply with the Payment Card Industry Data Security Standard (PCI DSS). SiteAccessible does not receive, store or have access to your full card number, security code or other sensitive cardholder data. We receive only what we need to run your subscription: its status, plan, renewal date, amounts, your billing country and transaction identifiers.
We are not responsible for errors, outages or security incidents at third-party payment processors. Questions about a charge can be sent to Paddle (paddle.net) or to [email protected].
6. Installing and Using the Widget
- Domains. You may install the widget only on websites you own or are authorised to manage, and only on the domains registered for the site in your panel. The widget checks the domain it runs on and does not start elsewhere.
- Site keys. The installation snippet contains a public site key. It identifies your configuration and is not a secret, but you must not use another customer's key or let yours be used on domains that are not yours.
- Your configuration. You are responsible for the settings you choose, the custom CSS you add, the languages you enable and the accessibility-statement link you provide, and for making sure the statement you publish about your own website is accurate.
- Your visitors. You are responsible for telling your visitors about the widget where the law requires it, for example in your privacy notice. What the widget processes about them is described in our Privacy Policy and Data Processing Agreement.
- Credit. On plans that do not include its removal, the widget shows a small “Powered by SiteAccessible” credit, which you must not hide or alter.
- No medical or assistive-technology device. The widget is a convenience feature of a web page. It is not a medical device and does not replace a screen reader, screen magnifier, switch device or any other assistive technology, which your website must support in its own right.
7. Your Content & Data
7.1 Ownership
You retain all rights in the content and data you provide to the Service — site names, domains, widget settings, custom CSS and similar material (“Customer Content”). SiteAccessible does not claim ownership of it.
7.2 Licence to us
You grant SiteAccessible a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process and transmit Customer Content solely to operate, provide, secure and improve the Service. The licence ends when you delete the content or your account, except for backups and records we must keep by law.
7.3 Prohibited content
You must not submit, or use the Service on a website that contains, content that:
- is illegal, fraudulent or violates any applicable law or regulation;
- contains or distributes malware or other harmful code, or is designed for phishing or identity theft;
- infringes the intellectual-property, privacy or other rights of a third party;
- is defamatory, obscene, threatening, harassing or hateful, or promotes violence, discrimination or illegal activity.
We may, but are not obliged to, review and remove Customer Content or stop serving the widget to a website that we reasonably determine breaches these Terms, without prior notice and without liability to you.
8. Usage Data
When the widget loads on your website it reports the page load to us, and — if you keep analytics switched on — that the panel was opened and which adjustment was switched on. These are aggregate counters per site and per day. They contain no name, no cookie, no page address and no identifier of the visitor, and the visitor's own settings stay in their browser. We use the counters to show you your usage, to meter your plan, to verify that the widget is installed, and, in aggregate, to improve the Service. Details are in our Privacy Policy.
9. Intellectual Property
9.1 Our intellectual property
The Service — including the widget, its source code, design, user interface, translations, documentation, logos and trademarks — is and remains the exclusive property of QROLLING LLC and its licensors. During your subscription or trial we grant you a limited, non-exclusive, non-transferable, revocable licence to load the widget on the domains registered in your account, and to use the panel, in accordance with these Terms. No other right, title or interest is granted.
9.2 Third-party components
The widget includes typefaces and icons distributed under open-source licences (including the SIL Open Font License and the ISC licence). Their licence texts are provided with the files and continue to apply to those components.
9.3 Feedback
If you give us feedback, suggestions or ideas about the Service, you grant us an irrevocable, perpetual, worldwide, royalty-free licence to use and incorporate them without any obligation to you.
10. Prohibited Activities
You agree not to:
- Unauthorised access: attempt to gain unauthorised access to the Service, other accounts, or systems and networks connected to it.
- Domain and licence circumvention: bypass the widget's domain check, copy or self-host the widget bundle, use the widget on unregistered domains, or otherwise use it outside your subscription.
- Circumventing limits: bypass plan limits, rate limits, trial periods or security measures, including by creating multiple accounts.
- Usage manipulation: send artificial or automated requests to inflate, deflate or falsify usage figures — yours or another customer's.
- Reverse engineering: decompile, disassemble or otherwise attempt to derive the source code or algorithms of the Service, except to the extent that applicable law expressly permits it despite this restriction.
- Scraping: use automated tools to extract data from the Service without our written permission.
- Misrepresentation: present the Service, or anything it produces, as a certificate, audit or guarantee of accessibility or legal compliance.
- Service interference: introduce code or take any action that disrupts or degrades the Service, including denial-of-service attacks.
- Resale: resell, sublicense or white-label the Service without our prior written consent.
- Illegal activity: use the Service for any purpose that violates any applicable law or regulation.
A breach of this Section may result in immediate suspension or termination without refund, and may be reported to the relevant authorities.
11. Disclaimer of Warranties & Limitation of Liability
11.1 “As is” basis
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. SITEACCESSIBLE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
11.2 No warranty
SiteAccessible does not warrant that:
- the Service, or a website using it, complies with any accessibility law, regulation, standard or government requirement (see Section 2);
- the Service will prevent, reduce or defeat any complaint, demand letter, lawsuit, investigation or fine concerning the accessibility of your website;
- the widget will work with every website, browser, device, assistive technology or third-party script, or will suit the needs of every visitor;
- the Service will meet your requirements, or be uninterrupted, timely, secure or error-free;
- usage figures will be complete or exact, or that any error in the Service will be corrected.
11.3 Liability cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SITEACCESSIBLE AND QROLLING LLC ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES YOU PAID FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, THE MAXIMUM LIABILITY SHALL NOT EXCEED FIFTY EUROS (EUR 50.00).
11.4 Exclusion of consequential damages
IN NO EVENT SHALL SITEACCESSIBLE, QROLLING LLC, OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES OR GOODWILL, OR FOR ANY REGULATORY FINE, PENALTY, SETTLEMENT, DAMAGES AWARD, LEGAL COST OR REMEDIATION COST ARISING FROM THE ACCESSIBILITY OR LEGAL COMPLIANCE OF YOUR WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.5 Basis of the bargain
These limitations and exclusions reflect a reasonable allocation of risk between you and us and are a fundamental element of the bargain, reflected in the price of the Service. The Service would not be provided without them. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for death or personal injury caused by negligence, for fraud, or mandatory consumer rights.
12. Indemnification
You agree to indemnify, defend and hold harmless SiteAccessible, QROLLING LLC and their officers, directors, employees, agents, affiliates, successors and assigns from and against all claims, demands, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or related to:
- your website, its content and its accessibility, including any claim that it does not comply with an accessibility or anti-discrimination law;
- any statement you make about the accessibility or compliance of your website, or about the Service;
- your use of the Service or any activity under your account;
- your Customer Content, including custom CSS and the configuration you choose;
- your breach of these Terms or of any applicable law, or your violation of any third-party right.
We may, at your expense, assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate fully.
13. Service Modifications
We may modify, update or discontinue any aspect of the Service at any time, including adding or removing adjustments, languages or features, changing the widget's design, and adjusting plan limits. For material changes that remove paid features, we will use reasonable efforts to give at least thirty (30) days' notice. We are not liable for any modification, suspension or discontinuation of the Service or any part of it.
14. Termination
14.1 Termination by us
We may suspend or terminate your account and stop serving the widget immediately, without prior notice or liability, if:
- you breach these Terms or engage in a prohibited activity under Section 10;
- your use of the Service poses a security risk to us or to others;
- providing the Service to you is prohibited by law;
- payment for your subscription has failed (Section 4.7); or
- we discontinue the Service entirely, in which case fees prepaid for the unused part of the term are refunded pro rata.
14.2 Termination by you
You may stop using the Service at any time by removing the script from your website. You may delete your account yourself, in the account settings of the panel — after downloading your data there, if you want a copy — and it is deleted at once; if your subscription still renews automatically, cancel it first (Section 4.6). You may also ask us to delete it by writing to [email protected], in which case we do so within thirty (30) days. Cancelling a paid subscription does not by itself delete your account.
14.3 Effect of termination
- Your right to use the Service ends and the widget stops loading on your websites.
- When your account is deleted, your Customer Content and usage data are deleted with it — at the latest within thirty (30) days — except billing records the law requires us to keep. We do not delete the data of an account that still exists.
- Provisions that by their nature should survive — including Sections 2, 9, 11, 12, 15 and 16 — survive termination.
15. Governing Law
These Terms and any dispute arising out of or in connection with them are governed by the laws of Georgia (the country of incorporation of QROLLING LLC), without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Nothing in these Terms limits your rights under mandatory consumer-protection or data-protection laws in your jurisdiction. If you are a consumer in the European Union, you may also bring proceedings in the courts of your country of residence under applicable EU consumer-protection legislation.
16. Dispute Resolution
16.1 Informal resolution
Before starting any formal proceeding, you agree to first try to resolve the dispute informally by writing to [email protected]. Both parties will negotiate in good faith for at least thirty (30) days from the date of the first written notice of the dispute.
16.2 Binding arbitration
If the dispute is not resolved informally within thirty (30) days, it shall be finally and exclusively resolved by binding arbitration rather than in court, except as set out below.
- Administering institution. The International Arbitration Center of the Georgian Chamber of Commerce and Industry, under its Arbitration Rules in force when the arbitration is commenced. If that institution is unavailable, the parties shall agree on another institution administering arbitrations in Georgia or, failing agreement, the arbitration shall be ad hoc under the UNCITRAL Arbitration Rules.
- Seat and venue. Tbilisi, Georgia. Hearings may be conducted remotely.
- Language. English.
- Arbitrators. A sole arbitrator appointed under the applicable rules.
- Governing law. The laws of Georgia, together with any mandatory consumer-protection provisions of your country of residence that cannot be excluded by agreement.
- Finality. The award is final and binding and may be entered and enforced in any court of competent jurisdiction.
- Exceptions. Either party may (i) seek interim or injunctive relief from any competent court to protect its intellectual property, confidential information or account security, and (ii) bring an individual claim in a small-claims court for disputes within its jurisdiction. Consumers in the European Union keep their right to bring proceedings in the courts of their country of residence, and nothing in this Section limits any non-waivable right.
16.3 Class action waiver
To the fullest extent permitted by law, any arbitration or other proceeding shall be conducted only on an individual basis and not as a class, consolidated, mass or representative action. If this waiver is held unenforceable in a particular case, this Section 16 is void as to that case and the dispute shall be resolved in the competent courts of Tbilisi, Georgia.
17. Data Protection
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. For your account data SiteAccessible acts as data controller. For what the widget processes on your websites on your behalf, you are the controller and SiteAccessible is your processor; our Data Processing Agreement, accepted together with these Terms, governs that processing.
18. Third-Party Services
The Service relies on third-party providers, including a payment provider (Paddle), cloud hosting, a content-delivery and security network, and an email provider. We are not responsible for the availability, accuracy or practices of third-party services, and your use of them is subject to their own terms and privacy policies. Links to third-party websites do not imply endorsement.
19. Force Majeure
We are not liable for any failure or delay in performing our obligations to the extent caused by circumstances beyond our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, government actions or sanctions, labour disputes, fire, flood, power outages, internet or telecommunications failures, cyberattacks or failures of third-party providers. If such an event continues for more than sixty (60) days, either party may terminate these Terms by written notice.
20. Severability, Waiver & Entire Agreement
- Severability. If any provision of these Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable or, if that is not possible, severed; the remaining provisions continue in full force.
- Waiver. Our failure to enforce any right or provision is not a waiver of it. Any waiver must be in writing and signed by our authorised representative.
- Entire agreement. These Terms, the Privacy Policy, the Data Processing Agreement and the Legal Notice are the entire agreement between you and us concerning the Service and supersede all prior agreements, proposals and communications, oral or written.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, reorganisation or sale of assets.
- Notices. We may give notice by email to the address on your account, in the panel, or by posting on the Service. You may give notice to us at [email protected].
- Language. These Terms are written in English. Translations are provided for convenience; if they differ, the English version prevails.
